Terms of Service

1. The Service

Intellrise is a software tool that lets you connect your own data sources and use AI to turn plain-English questions into queries, charts, dashboards and reports. Intellrise is a software service, not a data-storage or accounting service, and does not provide professional, financial, legal or investment advice.

Managed (section 15) is a service in which we run the software for you.

2. Accounts

You must provide accurate information, keep your password secure, and are responsible for activity under your account. You must be able to form a binding contract to use the Service.

3. Bring Your Own AI Key (BYOK)

Except on Managed (section 15), the Service requires you to connect your own AI provider API key. You are responsible for complying with your AI provider's terms, any usage charges your provider bills you, and keeping your key valid. We store your key encrypted and use it only to process your requests.

4. Your data and content

You own your data and content. We claim no ownership of your data sources, questions, or the reports/dashboards you create. The SQL and outputs generated for you are yours to use.

You grant us the limited rights needed to operate the Service for you (e.g. to read your connected source to answer a question, and to store the content you choose to save). See the Privacy Policy.

You are responsible for having the right to connect and query the data sources you add, and for the accuracy of that data.

5. Acceptable use

You agree not to: use the Service unlawfully; attempt to access other tenants' data; reverse-engineer, resell or redistribute the Service without authorization; probe, overload or disrupt the Service; or upload malicious content. We may suspend or terminate accounts that violate these Terms.

6. Plans, billing & changes

Paid plans are billed through Lemon Squeezy, our Merchant of Record, on a monthly or annual basis. Prices and plan features may change; we'll give reasonable notice of material changes. Prices shown are exclusive of tax; any sales tax or VAT that applies in your jurisdiction is added on top by Lemon Squeezy at checkout. Cancellation, downgrades and refunds are described in our Refund & Cancellation Policy.

Managed is the exception: see section 15.

7. Intellectual property

We own the Service, its software, design and brand. We grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. You may not copy, modify, or create derivative works of our software or brand.

8. Third-party services

The Service integrates third parties (your chosen AI provider, your data sources, and our sub-processors listed in the Privacy Policy). We are not responsible for the availability, accuracy or acts of third-party services.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind. AI-generated queries, charts and insights may be incomplete or incorrect — they are suggestions, not guarantees. You must verify results before relying on them for any decision. We do not warrant uninterrupted or error-free operation.

10. Limitation of liability

To the maximum extent permitted by law, Intellrise is not liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid for the Service in the 3 months before the claim (or, if you are on the free plan, RM100). Nothing limits liability that cannot be limited by law.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms or for unlawful use. On termination, your right to use the Service ends; data handling on closure is described in the Privacy Policy.

12. Governing law

These Terms are governed by the laws of Malaysia, and disputes are subject to the courts of Malaysia, without prejudice to mandatory consumer protections in your jurisdiction.

13. Changes to these Terms

We may update these Terms; we'll post the new date and, for material changes, notify you. Continued use after changes means you accept the updated Terms.

15. Managed service

15.1 What it is. Managed is a service in which we set up a dedicated AI employee for your company from your job description, then run and maintain it for you. It is an AI, not a person. Before it starts, we send you a role description (its duties, what it delivers and when, how numbers are defined, and what it does not do) for you to approve. The service covers what that approved role description says, plus Intellrise Team software for up to 5 people. Deep analysis is done one request at a time.

15.2 Free trial. You can try Managed free for two weeks. The two weeks start when the AI employee begins regular work, after setup is done. We take no payment details for the trial. At the end, you decide whether to subscribe. If you do not, you owe nothing.

15.3 Price and billing. Managed is $490 a month, including tax. There is no setup fee. AI usage is included; you do not need your own AI key, and section 3 does not apply. Managed is billed monthly in advance, by invoice or card, and renews each month until you cancel.

15.4 Cancelling. You can cancel any time by emailing contact@intellrise.com. Cancellation takes effect at the end of the paid month, and the service runs until then. We do not refund the current month.

15.5 What you give us. Read-only access to the systems you want covered, and a person who approves the role description, including how each number is defined. Give access through the Intellrise app, not by email. You confirm you have the right to share this data with us. By default we connect business tables only, not columns with personal details. Before we connect any data, you approve the role description and our Data Processing Agreement together, online, in one step.

15.6 What is not included. Building or fixing your business systems; entering or cleaning source records; more than one deep analysis at a time; meetings or calls. The monthly review is a written report.

15.7 Answers are advice, not decisions. The AI employee gives analysis and suggestions. You decide what to do with them, and you are responsible for your business decisions. Every number we send shows where it came from, so you can check it.

15.8 What we are responsible for. We deliver the service as described in 15.1. If a number we sent is wrong, we fix it and tell you. If a sync or report fails, we fix it. These fixes are your main remedy for errors. Our total liability for any claim about Managed is limited to the fees you paid for Managed in the 3 months before the claim (during the free trial, RM100). Section 10 otherwise applies.

15.9 When it ends. You keep your role description, your metric definitions and the logic (SQL) behind every report we built for you. We remove our access on the last day and delete your data within 30 days, as set out in the Data Processing Agreement.
